General Terms and Conditions
This page sets out the general terms and conditions applicable to the services provided by Oporto Webdesign, including website development, online stores, maintenance, hosting, technical support, and complementary digital services. These terms complement the commercial proposals presented and must be read in conjunction with the specific conditions set out in each proposal, quotation, or written agreement entered into with the client.
1. Purpose and scope
Oporto Webdesign provides services in the design, development, redesign, hosting, maintenance, technical support, and optimization of websites and online stores, as well as other complementary services related to digital presence, design, content, and web infrastructure.
2. Proposals, Awarding, and Start of Work
Each project will be defined by its own commercial proposal, which will include the scope of work, investment, payment terms, estimated timeline, and any specific technical notes.
The project is considered awarded upon the client’s express acceptance of the proposal and, where applicable, after receipt of the agreed initial payment.
The start of the work always depends on initial alignment, confirmation of the project assumptions, and the delivery of the necessary materials by the client.
3. Content Management and Delivery
Content provided by the client, including texts, images, documents, logos, tables, videos, or other files, must be delivered in digital format and in their final version, whenever they are intended for non-editable areas or for direct integration by Oporto Webdesign.
The timely delivery of the necessary materials is the sole responsibility of the client and is an essential condition for meeting the project’s estimated deadlines.
Whenever delays in the delivery of content, validations, or approvals are attributable to the client, the initially agreed timelines may be adjusted without this constituting a breach on the part of Oporto Webdesign.
4. Translations and Materials Provided by the Client
Unless otherwise agreed in writing, all translations of content into other languages are the responsibility of the client.
Oporto Webdesign assumes no responsibility for the linguistic, technical, commercial, or legal accuracy of the content whenever it is provided directly by the client or by third parties indicated by the client.
5. Licensing and Copyright
The client declares and warrants that they hold the necessary rights, licenses, and authorizations for all content, images, trademarks, texts, videos, files, and any other materials provided for integration into the project.
Oporto Webdesign assumes responsibility only for graphic materials, images, or elements selected and licensed directly by its team, when this is included as part of the contracted service.
After the project goes live, responsibility for the published content, its licensing, and compliance with copyright laws rests solely with the client.
6. Infrastructure and Technical Conditions
The proper functioning, stability, performance, and security of the website or online store are optimally ensured when the project remains hosted on the infrastructure recommended by Oporto Webdesign.
If the client chooses to use external servers, Oporto Webdesign cannot guarantee the same level of performance, compatibility, response time, or operational stability.
The final deployment of the project to the live environment always depends on the client’s express authorization.
7. Project Ownership and Access Credentials
After the project goes live and the agreed access credentials are provided, the website becomes the property of the client, without prejudice to Oporto Webdesign’s rights over components, methodologies, internal structures, proprietary tools, or reusable technical elements that are not subject to an explicit transfer.
The client will have direct access to the content and the respective administration area, within the limits of the contracted service and the technical configuration defined for the project.
8. Warranties and Corrections
Oporto Webdesign provides a 1-year technical warranty for programming defects directly attributable to the development carried out.
Any spelling or grammatical errors introduced by Oporto Webdesign will be corrected free of charge during the first 60 days after the final delivery of the project.
Excluded from this warranty are content changes, new features, structural modifications, additional requests outside the awarded scope, incompatibilities caused by third parties, or interventions carried out outside the technical control of Oporto Webdesign.
9. Maintenance and Technical Support
Whenever contracted, the maintenance and technical support service is intended to ensure the operational continuity of the project, including technical monitoring, updates, supervision, and corrective interventions in accordance with the subscribed plan.
Ongoing technical support generally requires that the website remains hosted on Oporto Webdesign’s infrastructure and that an active maintenance plan is in place.
Enhancements, upgrades, new integrations, structural changes, or requests outside the scope of regular support may be quoted separately.
10. Hosting, Domain, and Email Accounts
When included in the contracted service, hosting is provided on Oporto Webdesign’s private VPS infrastructure, optimized for security, stability, and performance.
The base plan may include management and renewal of the main domain, monthly traffic, disk space, WordPress compatibility, as well as the creation of email accounts, within the limits defined in the commercial proposal or the active plan.
Access to email accounts may be provided via webmail and, where technically applicable, through integration with external platforms such as Gmail.
In the event of a future migration to external servers, the downloading and prior backup of messages in POP3 mode is the responsibility of the client.
Whenever the client requires intensive use of IMAP, additional storage space may be necessary, subject to technical evaluation and possible plan adjustment.
11. Confidentiality
Oporto Webdesign undertakes to maintain confidentiality regarding all data, documents, access credentials, content, and other information provided by the client within the scope of the project.
Such elements will be used exclusively for the execution, development, management, and support of the contracted service, unless otherwise required by law.
12. Civil and Legal Liability
Oporto Webdesign is solely responsible for the technical development and the implementation of the services as agreed.
The client assumes full responsibility for the content published, the accuracy of the information provided, the legality of their activity, compliance with the legislation applicable to their sector, and all legal, tax, regulatory, or consumer obligations associated with their business.
Oporto Webdesign shall not be held liable for any fines, penalties, losses, suspensions, complaints, or legal proceedings arising from the products, services, content, campaigns, communications, or activities carried out by the client.
13. Cancellation, Suspension, and Termination
In the event of withdrawal, suspension, or cancellation of the project at the client’s initiative, the amounts corresponding to the work effectively carried out up to the date of notification shall be due.
Whenever there are services already acquired, activated licenses, renewed domains, technical hours consumed, or expenses incurred for the execution of the project, such amounts may also be invoiced or may be non-refundable, as applicable.
14. Amendments to These Terms
Oporto Webdesign may update these General Terms and Conditions whenever necessary to reflect legal, technical, operational, or commercial changes.
The version of these General Conditions applicable to the initial execution of each project shall be the one in force on the date of its award, unless otherwise agreed in writing.
For ongoing or periodically renewed services, namely hosting, maintenance, technical support, licenses, domains, and annual services, the version of the General Conditions in force at each renewal date shall apply.
Whenever these conditions are updated with an impact on recurring services, the Client will be informed prior to renewal, and the renewal or continuation of the service shall be deemed as acceptance of the version applicable on that date.
Without prejudice to the above, any changes required by law, regulatory requirements, or technical, operational, or security reasons may be applied with immediate effect, to the extent strictly necessary.
